Why Knot Me Event Ticketing Terms

These Event Tickets Terms ("Event Tickets Terms") govern ticket purchases and attendance for in-venue experiences sold through Why Knot Me Events Studio. Why Knot Me ("WKM," "we," "our," or "us") acts as the ticketing agent and payment facilitator. The venue or business listed as the event organizer ("Organizer," "Venue," or "Business") hosts and operates the experience.

1. Scope and agreement structure

These Event Tickets Terms apply to ticketed events, paid experiences, chef's tables, cocktail classes, jazz dinners, matchmaking nights, social mixers, and hospitality activations sold through the Why Knot Me native app. Ticket checkout is available in the app only — web ticket purchase is not offered today.

Your contract is with the Organizer. When you purchase a ticket, you enter into a contract for the experience with the Organizer listed at checkout. WKM provides technology, discovery, and payment processing as a limited ticketing agent — not as the event host, producer, or seller of the underlying experience.

By purchasing a ticket, you agree to these Event Tickets Terms, the Payments Policy, the Terms of Service, the Privacy Policy, and the Organizer's event-specific refund policy shown at checkout.

2. Roles

Organizer (venue/business): Hosts and operates the experience; sets prices, capacity, refund policy, and event details; is responsible for delivery, staffing, safety, permits, insurance, alcohol/service laws, accessibility, and attendee issues at the venue.

Why Knot Me: Provides Events Studio, discovery (map and venue More Information), and checkout technology; processes payments through Stripe as ticketing agent; collects the WKM Spark Fee on paid ticket sales; routes net proceeds to the Organizer via Stripe Connect.

Ticket buyer (dater/attendee): Purchases admission through the WKM app and agrees to these terms and the Organizer's published event policies.

3. Eligibility, age, and identification

You must be at least 18 years old to purchase tickets unless the Organizer expressly permits otherwise and applicable law allows it. Some events may require valid government-issued ID or the in-app confirmation code for entry. Organizers may refuse entry for failure to meet age, dress code, capacity, safety, or conduct requirements consistent with venue policy and law.

4. Fees, pricing, and currency

WKM Spark Fee: 8% of the ticket subtotal on paid ticket sales. Not charged on free ($0) tickets. The Spark Fee covers dater notifications, pre-matching, promotion, the guaranteed minimum, and post-event feedback.

Card processing: An estimated 2.9% + $0.30 per transaction may be shown at checkout. Actual Stripe processing fees may vary and are set by Stripe, not WKM.

Fee pass-through (default): Unless the Organizer absorbs fees, buyers see the ticket subtotal, WKM service fee, estimated processing, and total before payment. When fees are absorbed, the buyer pays the listed ticket price and fees are deducted from Organizer payout.

Mixed free and paid tiers: The Spark Fee applies only to paid portions of an order.

Minimum charge: Paid checkouts must meet Stripe's minimum charge (currently $0.50 USD).

Currency: Ticket prices and checkout are in U.S. dollars (USD) unless WKM expressly states otherwise.

Taxes: Sales tax, hospitality tax, VAT, or similar taxes may apply where required by law. Buyers and Organizers remain responsible for applicable tax obligations. WKM may calculate, collect, and remit taxes where it is legally required to do so as a marketplace facilitator or otherwise under applicable law.

Fee changes: WKM may update the Spark Fee or fee presentation with reasonable notice where permitted by law. Fees in effect at checkout apply to that purchase.

5. Checkout disclosures and order limits

At checkout, buyers see disclosures including: "Sold by [Organizer] · Payments secured by Why Knot Me," the selected refund policy, itemized fees where applicable, and the total amount charged.

Orders may be limited (currently up to eight (8) tickets per order in the app UI; backend limits may differ). WKM and Organizers may cancel or limit orders that appear fraudulent, abusive, or intended for unauthorized resale.

6. Refund, cancellation, and changes

Organizers select one refund policy shown at checkout:

  • 48 hours before (default): Full refund if requested at least 48 hours before the event start.
  • 24 hours before: Full refund if requested at least 24 hours before the event start.
  • 7 days before: Full refund if requested at least 7 days before the event start.
  • Organizer cancels only: Full refund only if the Organizer cancels or materially reschedules.
  • All sales final: No refunds except if the Organizer cancels.

If an Organizer cancels or materially reschedules an event, buyers are entitled to a full refund of the ticket price paid through WKM regardless of the selected policy, except where prohibited by law.

How to request a refund: Contact the Organizer or email support@whyknot.me. Refunds are processed through Stripe. Partial refunds may be available at the Organizer's discretion where supported.

Important: Refund time windows are displayed at checkout for transparency. Refund eligibility is not automatically enforced by timestamp in all cases — Organizers or WKM support may review requests based on the published policy, event circumstances, and applicable law.

No-shows and weather: Missing an event, arriving late, or failing to attend does not entitle you to a refund unless the published policy or applicable law provides otherwise. Weather-related changes are handled by the Organizer's policy and applicable law.

Event changes: Organizers may update reasonable event details (start time, menu, seating format, entertainment, capacity within published limits) where necessary for operations or safety. Material changes may trigger refund rights as described above.

7. Payouts to organizers

Paid ticket revenue is routed through Stripe Connect to the Organizer's connected U.S. Express account, minus the WKM Spark Fee and card processing costs. Payouts typically begin approximately three (3) business days after the event ends, subject to Stripe identity verification, fraud review, chargeback holds, bank processing, and Stripe's standard payout schedule. Displayed payout dates are estimates — actual bank deposit timing depends on Stripe Connect and the Organizer's bank. WKM does not guarantee payout timing.

8. Ticket delivery, transfer, and resale

Buyers receive a confirmation code in the Why Knot Me app after purchase. Organizers may require the confirmation code or valid ID at check-in.

Tickets are non-transferable unless the Organizer explicitly allows transfers in writing or through WKM tools. Unauthorized resale, scalping, bot purchasing, or commercial exploitation of tickets is prohibited. WKM may cancel tickets obtained through fraud or policy violations without refund where permitted by law.

9. Conduct, safety, and removal

Attendees must follow event and venue rules, respect staff and guests, avoid harassment or discrimination, comply with alcohol and local laws, and act safely. WKM, Organizers, or venue staff may refuse entry or remove attendees for misconduct, intoxication, safety risk, or policy violations without refund except where required by law.

Assumption of risk: In-person hospitality, dining, alcohol service, matchmaking, and social events involve inherent risks. You assume responsibility for your conduct and choices at events. WKM does not guarantee compatibility, matchmaking outcomes, emotional outcomes, or relationship results.

Accessibility: Organizers are responsible for accessibility compliance at their venues. Contact the Organizer before purchasing if you need accommodation information.

Photography and recording: Organizers may photograph, livestream, or record events for promotional or operational purposes. By attending, you consent to reasonable incidental capture unless the Organizer states otherwise or law requires opt-out rights.

10. Chargebacks and payment disputes

If you dispute a charge, contact WKM or the Organizer first so we can attempt good-faith resolution. Abusive or fraudulent chargebacks may result in account restrictions.

Organizers must cooperate with WKM and Stripe in fulfillment-related disputes and provide attendance or check-in records when requested. WKM may offset chargebacks, dispute fees, and associated costs from future Organizer payouts where permitted by law and the Business Terms.

11. Third-party payment processing

Payments are processed by Stripe and subject to Stripe's terms and privacy practices. WKM does not store full payment card numbers. See the Payments Policy and Stripe's documentation for additional information.

12. Privacy and data

WKM and Organizers may use ticket and attendee information to operate ticketing, check-in, refunds, safety, and support. Organizers must use attendee data only for legitimate event operations and in compliance with applicable privacy laws and the Privacy Policy. See the Business Terms for business data obligations.

WKM may retain ticket order and payment records as described in the Privacy Policy and as required for tax, fraud prevention, dispute resolution, and legal compliance.

13. Force majeure

WKM is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, severe weather, pandemics, government orders, labor disputes, utility failures, acts of terrorism, or failures of third-party payment or telecommunications providers. Organizers remain responsible for communicating cancellations or changes to attendees.

14. Disclaimers

WKM provides ticketing technology on an "AS IS" and "AS AVAILABLE" basis. WKM does not guarantee event attendance, compatibility, venue experience, matchmaking outcomes, emotional outcomes, event quality, uninterrupted checkout, or Organizer performance. WKM is not the event host.

15. Limitation of liability

To the maximum extent permitted by law, WKM shall not be liable for Organizer acts or omissions, venue conditions, alcohol-related incidents, personal injury, property damage, indirect damages, lost profits, or consequential damages arising from ticket purchases or event attendance.

WKM's total liability relating to a ticket purchase shall not exceed the greater of (a) the WKM Spark Fee WKM retained on that order or (b) the amounts you paid to WKM (excluding amounts remitted to the Organizer) for that order. Broader limitations in the Terms of Service also apply.

16. Indemnification

You agree to indemnify and hold harmless WKM and its affiliates from claims arising from your misconduct at events, your violation of these Event Tickets Terms, or your unauthorized resale or misuse of tickets, except to the extent caused by WKM's gross negligence or willful misconduct.

17. Governing law and disputes

These Event Tickets Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your state apply. Disputes are subject to the dispute resolution provisions in the Terms of Service where applicable.

18. Changes to these terms

WKM may update these Event Tickets Terms periodically. Material changes will be posted with an updated "Last Updated" date. Continued ticket purchases after changes constitutes acceptance where permitted by law.
